1. Services

NeonLearn provides online English language learning services primarily for teenagers in Canada. Our services may include, but are not limited to:

• Online English language courses and programs
• Educational materials and resources
• Virtual classrooms and interactive learning environments
• Assessment and progress tracking tools
• Communication channels with instructors and other students

We reserve the right to modify, suspend, or discontinue any part of our services at any time without notice or liability.

2. Accounts

2.1 Registration

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

2.2 Account Security

You are responsible for safeguarding the password that you use to access our services and for any activities or actions under your password.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2.3 Parental Consent

For users under 18 years of age, we require parental or guardian consent for account creation and service usage. Parents or guardians are responsible for supervising their children's use of our services and ensuring their compliance with these Terms.

3. Intellectual Property

3.1 Our Content

The service and its original content, features, and functionality are and will remain the exclusive property of NeonLearn and its licensors. Our service is protected by copyright, trademark, and other laws of Canada and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of NeonLearn.

3.2 User Content

When you upload, share, submit, or post content to our services ("User Content"), you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with providing our services.

You represent and warrant that:

• You own the content or have the right to use it and grant us the rights and license as provided in these Terms
• The posting of your content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person

4. Prohibited Uses

You agree not to use our services:

• In any way that violates any applicable federal, provincial, local, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation
• To impersonate or attempt to impersonate NeonLearn, a NeonLearn employee, another user, or any other person or entity
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of our services, or which may harm NeonLearn or users of our services
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of our services, the server on which our services are stored, or any server, computer, or database connected to our services

5. Payment Terms

5.1 Fees

Access to certain services may require payment of fees. All fees are in Canadian dollars and are non-refundable except as provided in these Terms or when required by law.

We reserve the right to change our fees at any time. Any changes to fees will be notified to you in advance and will apply to subsequent billing cycles.

5.2 Billing

If you provide credit card information or other payment method information, you authorize us to charge all fees to that payment method. If your payment cannot be completed, we may suspend or terminate your access to our services.

5.3 Refunds

Refunds may be issued at our discretion or in accordance with applicable law. To request a refund, please contact our customer service team.

6. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use our services will immediately cease. If you wish to terminate your account, you may simply discontinue using our services and contact us to request account deletion.

7. Limitation of Liability

In no event shall NeonLearn, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use our services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, trojan horses, or the like, which may be transmitted to or through our services
• Any errors or omissions in any content or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available via our services

8. Disclaimer

Your use of our services is at your sole risk. Our services are provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no warranty that:

• Our services will meet your requirements
• Our services will be uninterrupted, timely, secure, or error-free
• The results that may be obtained from the use of our services will be accurate or reliable
• The quality of any products, services, information, or other material purchased or obtained by you through our services will meet your expectations

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using our services.
